Complex Sale of Assets and Services Agreement concluded

Between April and July 2015, we assisted one of our clients in the outdoor advertising sector by drafting, negotiating and finalising a fairly complex Sale of Assets and Services Agreement with a smaller company in this sector.  This agreement addressed: (a) the staggered sale, by our client, of no fewer than seven outdoor advertising billboard structures to the third party purchaser for a purchase price of approximately R1.8mn; (b) the specifics on when and mechanism by which ownership of and risk in the structures would pass; and (c) the cession, assignment and transfer, on a staggered basis, of a number of lease agreements, previously entered into with the landlords of properties on which the structures had been erected, from our client to the purchaser.

The sale and transfer of the first of the structures occurred in August 2015 and the final structure was eventually sold and transferred, from our client to the purchaser, in late September 2016.

Legal Opinion prepared for a large client operating in the veterinary sector on certain cross-border contracts

During September 2016 we were approached by one of our large clients operating in the veterinary sector to (a) review, prepare a legal opinion and advise them on; and (b) address certain specific legal, business and other questions which they had, in each case, in relation to a Sale of Shares Agreement ("SS Agreement") and a Service Level Agreement ("SLA"), that had been entered into some years before with a consortium in Zambia, for certain business operations and interests within Zambia.  

The necessary review and analysis of the SS Agreement and SLS, preparation of the requested legal opinion and further advice relating thereto was all undertaken, completed and provided to our client's the board of directors within a period of only 7 days.

Assisted with the review and negotiation of a complex Distribution Agreement for one of our large veterinary sector clients

Between June and September 2016 we assisted a large veterinary sector client with the review of and revisions to a complex Distribution Agreement, being negotiated with one of their local distributors.  We also carefully reviewed and updated all clauses dealing with the use of certain of our client's intellectual property (IP) in relation thereto.  

We also subsequently provided certain advice, guidance and recommendations to our client's CEO in respect of a few necessary disclosures relating to their products.

Drafting of Licence Agreements for licence of certain IP rights

Between February and March 2016 we assisted one of our consulting engineering clients by drafting a bespoke form of Licence Agreement, for the grant of certain licences by one of the shareholders of his intellectual property rights (IP rights) to a number of the companies in their group.  The Licence Agreement also addressed the envisaged payment by the licensee of certain royalty fees to the licensor.  

This matter was handled in a time-efficient and cost-effective manner and to the satisfaction of the licensor.

Tailored presentation delivered to a group of CEO's on the Protection of Personal Information Act, 2013

On Tuesday, 23rd February 2016, our Founder, Neil Taylor, delivered a tailored presentation on the implications of the Protection of Personal Information Act, 2013 (the "POPI Act"), and its implications for SMME's, to a meeting of CEO's representing a variety of different businesses.  The presentation followed an interactive format so that the CEO's could raise and discuss issues of particular concern to each of their businesses.    

The content of Neil's presentation and practical advice and input seems to have been really well received by the CEO's and the person who chairs the monthly meetings of this group.

Complex Independent Contractor Agreement prepared for consulting engineering client

In mid-December 2015 we were asked by one of our consulting engineering clients to assist them, on an urgent basis, with the preparation of a rather complex Independent Contractor Agreement ("ICA"), so that this document could be ready for roll-out in January 2016.  

We recommended that the contract be drafted on a "master-services" basis so that the different variables applying in relation to each of our client's consulting projects (such as each scope of work, area of responsibility, schedule of fees, duration and other parameters) could be addressed in a separate schedule to the ICA for the independent contractor concerned.  

Despite the general slow-down and the various public holidays during the December period, we were able to successfully assist the client and advise on, draft and finalise the agreement in time for the roll-out.

Involvement in our largest property transaction to date

In early-December 2015, we finalised our largest property sale and transfer to date.  This transaction involved the sale for R18.2 million of a large commercial property situated in Pretoria and the simultaneous assignment and transfer of a number of commercial leases with existing tenants which were were to remain in operation.  

With the assistance of a conveyancer from one of our associate firms, we were able to successfully negotiate the contracts, ensure that the commercial leases were successfully assigned and transferred from our client to the buyer and managed to meet the client's timeframes for the finalisation of the transaction and the transfer of the property.

Participation in Client's Offsite Strategy and Planning Meeting & Presentation on the Protection of Personal Information Act 2013 (POPI Act)

On Saturday, 6th June 2015, our Founder, Neil Taylor, was invited to attend and participate in one of our client's offsite strategy and planning meetings which was held at the Pecan Manor Conference & Function Centre in Hartbeestpoort (http://www.pecanmanor.co.za).  His participation, advice and input from a legal perspective seems to have been really well received by the client's senior management team and executives who were present.

During this meeting, Neil also provided the management team and executives with a tailored presentation on the Protection of Personal Information Act 2013 (the "POPI Act") and its implications for the company and its business operations.

Advice and input in relation to another corporate transaction

During March and April 2015, we provided important advice and input to one of our clients in the financial services industry, in relation to an important corporate transaction in which they were involved.  

Broadly, the transaction involved the review and negotiation of back-to-back agreements relating to (a) the sale, by certain of the existing shareholders in the financial services business, of their majority equity stake to a subsidiary of Sanlam for a total of R8mn; (b) the purchase, from the subsidiary of Sanlam, by the remaining shareholders of a large equity stake such that the remaining shareholders obtained a controlling interest in the company; and (c) the entry by the remaining shareholders and the subsidiary of Sanlam into a comprehensive Shareholders' Agreement.

Presentation made to SMME's, business owners & entrepreneurs

We were honoured to be invited to make a presentation to representatives from more than 40 SMME's, business owners and entrepreneurs at this morning's BNI meeting.  The presentation seems to have been well received by all and we discussed a number of possible business opportunities after the meeting. 

One lucky attendee also won a door prize (worth more than R1,800) in the prize draw.
